Welcome to Nestly Suite. These Terms of Service ("Terms") govern your use of the services provided by Nestly Suite Inc. ("Nestly Suite," "we," "us," or "our"), including our tenant portal, appliance rental platform, property management services, and website (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.

2. Description of Services

Nestly Suite provides:

  • Property Management: Rental housing and tenant services
  • Tenant Portal: Online platform for rent payments, maintenance requests, and account management
  • Appliance Rentals: Washer and dryer rental services with delivery and maintenance

We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

3. User Accounts

Registration

To access certain features, you must create an account. You agree to:

  1. Provide accurate, current, and complete information
  2. Maintain and update your information to keep it accurate
  3. Keep your password secure and confidential
  4. Accept responsibility for all activities under your account
  5. Notify us immediately of any unauthorized access

Account Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion.

4. Payment Terms

Rent Payments

If you are a tenant, you agree to:

  • Pay rent and other charges by the due dates specified in your lease
  • Provide valid payment information and maintain sufficient funds
  • Accept responsibility for late fees as specified in your lease agreement

Payment Processing

Payments are processed through Stripe, a third-party payment processor. By making payments, you agree to Stripe's Terms of Service. We are not responsible for payment processing errors beyond our control.

Recurring Payments

If you enable autopay, you authorize us to automatically charge your payment method on the scheduled dates. You may cancel autopay at any time through your account settings.

5. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose
  • Provide false or misleading information
  • Interfere with or disrupt the Services
  • Attempt to gain unauthorized access to any systems
  • Harass, threaten, or abuse our staff or other users
  • Upload malicious software or content
  • Violate any applicable laws or regulations

6. Intellectual Property

All content, features, and functionality of the Services, including text, graphics, logos, and software, are owned by Nestly Suite or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  2. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  3. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  4. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

8. Indemnification

You agree to indemnify, defend, and hold harmless Nestly Suite, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

  1. Your use of the Services
  2. Your violation of these Terms
  3. Your violation of any third-party rights
  4. Your violation of any applicable laws
  5. Any content you submit through the Services

9. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to first contact us at legal@nestlysuite.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Columbus, Ohio, unless mutually agreed otherwise.

Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST NESTLY SUITE.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any legal proceedings shall be conducted in the state or federal courts located in Franklin County, Ohio.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to you by:

  • Posting the updated Terms on our website
  • Email notification (for registered users)
  • In-app notification (for portal users)

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

12. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Services ceases immediately
  • Any outstanding obligations remain in effect
  • Provisions that should survive termination will remain in force

13. Electronic Communications

By using the Services, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any lease agreements you have entered into, constitute the entire agreement between you and Nestly Suite regarding the use of the Services.
